Commercial Terms and Conditions of Service & Supply
These Terms and Conditions govern all mechanical overhauls, diagnostic evaluations, dockside preventive maintenance, and marine spare parts procurement provided by CV MUTIARA. By commissioning our marine technicians or purchasing components, you agree to the operational and legal standards set forth below.
1 Scope of Operations & Contractual Formation
CV MUTIARA provides specialized marine boat engineering services, including inboard and outboard engine overhauls, propulsion driveline alignments, cooling system descaling, marine electrical troubleshooting, and certified spare parts distribution. A binding commercial contract is established once a customer approves a written Service Estimate, signs an authorized Work Order, or completes a parts purchase order.
2 Service Estimates, Diagnostic Teardown, & Additional Scope
Marine propulsion systems operate in harsh environments where internal defects cannot always be determined prior to physical disassembly. Our quotation protocols ensure commercial transparency:
Preliminary Estimates
Initial quotations are based on visual inspection, external diagnostic scans, and customer-reported symptoms. Written quotations remain valid for 14 calendar days from the date of issue.
Latent Defect Discoveries
If latent structural issues (such as cracked cylinder heads, heat-exchanger tube breaches, or crankshaft scoring) are uncovered upon mechanical teardown, we will halt work and issue an amended work scope for client authorization before proceeding.
3 Vessel Access, Dockside Service & Client Obligations
For on-site maintenance and dockside servicing at marinas, shipyards, or private berths, the vessel owner or charter operator assumes specific operational responsibilities:
• Berth Access & Permits: The client must secure all necessary entry permits, harbor master permissions, and marina gate clearances for our technical service crew and diagnostic vehicles.
• Safe Working Environment: The vessel’s engine compartment must be well-ventilated, free of standing bilge fuels, and equipped with safe working clearance. Bilge blowers and electrical disconnects must be fully functional.
• Technical Information Duty: The client must provide accurate engine serial numbers, model designations, and maintenance histories to avoid parts mismatch.
4 Marine Spare Parts Supply, Fitment & Return Terms
We supply genuine OEM and certified heavy-duty aftermarket components engineered specifically for saltwater environments:
Mechanical Parts Returns
Uninstalled, unmodified mechanical parts in original, undamaged packaging may be returned or exchanged within 14 calendar days of purchase, subject to inspection. Special-order items are subject to distributor approval.
Electrical & Electronic Components
Due to the sensitivity of marine electronic ignition modules, ECUs, sensors, and voltage regulators to external short circuits, electrical parts are strictly non-returnable once packaging seals are broken.
Client-Supplied Parts Notice: CV MUTIARA reserves the right to decline installation of customer-supplied parts if they are found to be substandard, counterfeit, or uncertified for marine use. We provide no warranty coverage whatsoever on labor or performance for customer-supplied components.
5 Service Workmanship Guarantees & Warranty Limitations
We stand behind our mechanical craftsmanship with a clear limited warranty on services rendered:
• Overhaul Workmanship Warranty: Major engine overhauls executed entirely by CV MUTIARA are warranted against assembly defects for a period of 30 calendar days or 50 operational engine hours (whichever occurs first), provided official break-in schedules are observed.
• Pass-Through Parts Warranty: New components installed during service carry their respective manufacturer’s warranty terms.
• Warranty Invalidation: Warranty coverage is immediately voided if the engine is operated without adequate cooling water, dry-run without sea strainer intake, run with contaminated or incorrect viscosity marine oil, modified with aftermarket ECU programming, or operated beyond rated RPM limits.
6 Payment Terms, Invoicing & Mechanics’ Right of Retention
All service invoices and parts bills are issued by CV MUTIARA under straightforward settlement parameters:
Payment Milestone Structure
Major overhauls and special-order parts require a 50% advance deposit upon work order confirmation. The remaining 50% balance is payable in full prior to vessel release, sea trial signoff, or dispatch of completed components.
Possessory Lien / Right of Retention
In accordance with commercial law, CV MUTIARA maintains a possessory mechanics’ lien over any engines, components, or vessel equipment held in our custody until all outstanding diagnostic, labor, and parts invoices are fully settled.
7 Limitation of Liability & Marine Consequential Damages
Operating watercraft inherently involves environmental and maritime hazards beyond mechanical control:
Exclusion of Consequential Maritime Losses: To the fullest extent permitted by law, CV MUTIARA disclaims liability for any indirect, incidental, or consequential losses, including lost charter revenue, vessel demurrage, marina slip storage surcharges, sea towage or salvage fees, holiday cancellations, or commercial downtime arising from mechanical failures, delivery delays, or weather disruptions.
8 Force Majeure & Weather Contingencies
Neither party shall be held liable for failure or delay in performing dockside service or delivering sea-trial signoffs due to acts of God, severe marine storms, harbor master safety bans, governmental port closures, natural disasters, or global freight embargoes. In such instances, scheduled service timelines will be extended accordingly.
9 Governing Law & Dispute Resolution
These terms and any service contract executed with CV MUTIARA shall be governed by and interpreted under the laws of the Republic of Indonesia. Any disputes arising between the parties that cannot be settled through mutual consultation shall be submitted to the exclusive jurisdiction of the district court having jurisdiction over Ciawi, West Java.
